Welcome to HoliWonders. These Terms of Use ("Terms") govern your access to and use of the HoliWonders website, including any content, features and products offered on or through it (together, the "Site"). The Site is operated by Hans Retail LLC, doing business as HoliWonders ("HoliWonders," "we," "us," or "our").

Please read these Terms carefully. By accessing or using the Site, creating an account, or placing an order, you agree to be bound by these Terms, our Privacy Policy and our Shipping & Returns policy, which are incorporated into these Terms by reference. If you do not agree, please do not use the Site.

1. Eligibility

You must be at least 18 years old, or the age of majority where you live, to create an account or place an order. If you are under that age, you may use the Site only with the involvement and consent of a parent or legal guardian. By using the Site, you confirm that you meet these requirements and are able to enter into a binding contract.

2. Your Account

  • You may need an account to use some features of the Site. You agree to provide accurate, current and complete information and to keep it up to date.
  • You are responsible for keeping your password confidential and for all activity that takes place under your account. Please notify us immediately at [email protected] if you believe your account has been used without your permission.
  • We may suspend or close accounts that violate these Terms or that we reasonably believe are being used fraudulently.

3. Products and Descriptions

  • We try to describe and display our products as accurately as possible. However, colors, sizes and details may vary slightly from what you see on your screen, and packaging may differ from the images shown.
  • We do not warrant that product descriptions, images or other content on the Site are complete, error-free or current. If a product you receive is not as described, your remedy is to return it in accordance with our Shipping & Returns policy.
  • All products are subject to availability. We may limit quantities, discontinue products or change product specifications at any time without notice.

4. Product Use and Safety

  • Always read and follow the manufacturer's instructions, warnings and age recommendations included with or shown for each product.
  • Toys and small parts: some toys, balloons and decorations contain small parts and may present a choking hazard. They are not suitable for young children unless stated otherwise. Uninflated or broken balloons can be dangerous to children; adult supervision is required.
  • Lights, inflatables and electrical items: use only as directed, indoors or outdoors as indicated, and do not leave them unattended for long periods. Inspect cords and plugs before use and do not use damaged items.
  • Candles and sparklers: never leave lit candles or sparklers unattended, and keep them away from flammable materials, children and pets.
  • Decorations are intended for decorative use only, not as toys, unless clearly labeled as toys.

5. Prices and Payment

  • All prices are shown in the currency displayed on the Site and do not include shipping charges or applicable taxes and duties unless stated otherwise. These are shown at checkout before you place your order.
  • We reserve the right to change prices at any time. The price that applies to your order is the price shown at the time you place it.
  • If a product is listed at an incorrect price or with incorrect information due to an error, we may refuse or cancel any orders for that product, even after your order has been confirmed. If your payment has already been charged, we will refund it in full.
  • Payments are processed by third-party payment providers. By submitting payment information, you confirm that you are authorized to use the payment method and authorize us and our payment providers to charge the full order amount.

6. Orders and Order Acceptance

  • Your order is an offer to buy the products in your cart. The order confirmation email we send confirms that we have received your order; it does not mean your order has been accepted.
  • A contract between you and us is formed when we ship the products to you. We may refuse or cancel any order for any reason, including product unavailability, errors in pricing or product information, suspected fraud, or orders that appear to be placed by resellers or for commercial resale.
  • If we cancel an order after you have been charged, we will issue a full refund to your original payment method.

7. Shipping, Delivery and Risk of Loss

We ship to the countries and regions shown at checkout. Delivery times are estimates and are not guaranteed. Title and risk of loss for products pass to you when the products are delivered to the shipping carrier. Customers outside the United States are responsible for any import duties, taxes and customs fees charged by their country unless stated otherwise at checkout. 8. Returns and Refunds

Returns, exchanges and refunds are handled in accordance with our Shipping & Returns policy. Please review it before placing your order.

9. Promotions, Discount Codes and Gift Certificates

  • Promotions and discount codes are subject to their stated terms, may have expiration dates, cannot be combined unless stated otherwise, have no cash value and may be changed or withdrawn at any time.
  • We may cancel orders or discounts obtained through misuse, error or fraud.
  • Gift certificates, if offered, can only be used on the Site, cannot be exchanged for cash except where required by law, and should be treated like cash. We are not responsible for lost or stolen gift certificates.

10. Export Restrictions and Sanctions

You agree to comply with all applicable export control and economic sanctions laws, including those of the United States. We do not sell or ship products to countries, regions, organizations or persons subject to comprehensive U.S. sanctions or embargoes, and we may cancel any order that we believe would violate such laws. By placing an order, you confirm that you are not located in, or ordinarily resident in, any such country or region and are not listed on any U.S. government list of prohibited or restricted parties.

11. Intellectual Property

The Site and all of its content, including text, graphics, logos, images, product photos, page designs and the HoliWonders name and logo, are owned by or licensed to Hans Retail LLC and are protected by copyright, trademark and other intellectual property laws. You may view and print pages from the Site for your personal, non-commercial use only. You may not copy, reproduce, distribute, modify, publish or create derivative works from any part of the Site without our prior written permission.

12. Reviews, Comments and Other Content You Submit

  • If you submit product reviews, comments, photos, questions or other content ("User Content"), you confirm that it is accurate, that you own it or have the right to share it, and that it does not violate anyone's rights or any law.
  • You grant us a non-exclusive, royalty-free, worldwide, perpetual license to use, reproduce, display, modify and publish your User Content in connection with the Site and our marketing, without compensation to you.
  • User Content must not be false, misleading, offensive, abusive, obscene, defamatory, discriminatory or promotional, and must not contain personal information about others. We may remove any User Content at our discretion.

13. Prohibited Uses

You agree not to:

  • use the Site for any unlawful, fraudulent or harmful purpose;
  • place orders using false information or a payment method you are not authorized to use;
  • interfere with or disrupt the Site, its servers or its security, or attempt to gain unauthorized access to any part of the Site or other users' accounts;
  • use robots, scrapers or other automated tools to access, copy or collect data from the Site without our written permission;
  • upload viruses or any other malicious code;
  • impersonate any person or misrepresent your affiliation with any person or organization; or
  • buy products for commercial resale without our prior written consent.

14. Third-Party Links and Services

The Site may contain links to third-party websites and use third-party services, such as payment processors and shipping carriers. We do not control and are not responsible for the content, policies or practices of third parties. Your use of third-party websites and services is at your own risk and subject to their own terms.

15. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND ALL CONTENT AND PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, EXCEPT AS EXPRESSLY STATED IN THESE TERMS OR REQUIRED BY LAW. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE. Any manufacturer's warranty that comes with a product is provided by the manufacturer, not by us. Nothing in these Terms limits any rights you have under applicable consumer protection laws that cannot be waived.

16. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, HANS RETAIL LLC AND ITS OWNERS, EMPLOYEES, AGENTS AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SITE OR ANY PRODUCTS PURCHASED THROUGH IT. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS, THE SITE OR ANY PRODUCT WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

17. Indemnification

You agree to indemnify and hold harmless Hans Retail LLC and its owners, employees and agents from any claims, losses, damages, liabilities and expenses, including reasonable attorneys' fees, arising from your violation of these Terms, your misuse of the Site or any product, or your violation of any law or the rights of any third party.

18. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict of law rules. Before filing any claim, you agree to contact us at [email protected] and try to resolve the dispute informally for at least 30 days. Any dispute that cannot be resolved informally will be brought exclusively in the state or federal courts located in Pinellas County, Florida, and you consent to the jurisdiction of those courts. If you are a consumer living outside the United States, you may also have the benefit of mandatory consumer protection laws of your country of residence.

19. Termination

We may suspend or terminate your access to the Site at any time, without notice, if we believe you have violated these Terms or the law. Sections that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, indemnification and governing law, will continue to apply.

20. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a new "Last updated" date and will apply from that date. The Terms in effect when you place an order will apply to that order. Your continued use of the Site after changes are posted means you accept the updated Terms.

21. General

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right or provision is not a waiver of that right. These Terms, together with our Privacy Policy and Shipping & Returns policy, are the entire agreement between you and us regarding the Site. You may not transfer your rights under these Terms without our consent; we may transfer ours.
